THESE OFFICIAL RULES REQUIRE YOU TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE YOUR RIGHT TO A JURY TRIAL.

Promotion Period

The [10-YEAR ANNIVERSARY CELEBRATION] (“Promotion”) begins at 12:00:00 a.m. Eastern Time (“ET”) on [05/15/2026] and ends at 11:59:59 p.m. ET on [5/31/2026] (“Promotion Period”). Sponsor’s computer is the official timekeeping device for this Promotion.

Eligibility

The Promotion is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry (except residents of Alabama and Nebraska, who must be nineteen (19) years of age or older, and residents of Mississippi, who must be twenty-one (21) years of age or older). Employees, officers, and directors of BrüMate, LLC (“Sponsor”), and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and prize suppliers (collectively, “Promotion Entities”), and the immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members of each such person, whether or not related, are not eligible. The Promotion is subject to all applicable federal, state, and local laws and regulations.

How to Enter

There are two methods of entry during the Promotion Period:

1. Product Entry (Purchase Method)

During the Promotion Period, purchase a qualifying [Royal Check or Moonstone Collections] from [brumate.com and our mobile app] (“Qualifying Product”). Select Qualifying Product shipments will contain a prize card (“Prize Card”) corresponding to one of the prize tiers described in Section 5 below. Not all Qualifying Product shipments will contain a Prize Card. The presence or absence of a Prize Card in any given shipment is randomly determined prior to distribution and is not known to Sponsor or purchaser at the time of purchase.

If you receive a Prize Card, follow the instructions on the card to claim your prize. All Prize Cards must be redeemed by [07/01/2026] or the prize will be forfeited. Limit: There is no limit on the number of Qualifying Products a person may purchase, but each winner is eligible for no more than one (1) Prize Card, if any.

2. Free Entry (Alternate Method of Entry)

You may enter the Promotion without making a purchase by hand-printing your full name, complete mailing address, email address, and date of birth on a 3” x 5” card and mailing it in a hand-addressed outer envelope with proper postage to: [BrüMate, LLC. / 10-Year Anniversary Celebration], 2679 W Main St., Unit #438, Littleton, CO 80120. Mail-in entries must be postmarked by [06/01/2026] and received by [06/15/2026]. Each mail-in entry must be sent in a separate, stamped outer envelope.

Limit: One (1) Alternate Method of Entry per person, per email address, and per household per day during the Promotion Period. For purposes of this Section, a “day” is a calendar day beginning at 12:00:00 a.m. ET and ending at 11:59:59 p.m. ET. Total Alternate Method of Entry entries for the Promotion are limited to [1956] entries. Once the entry cap is reached, no additional Alternate Method of Entry entries will be accepted.

Entries received in excess of the stated limits will be void. Entries generated by script, macro, bot, or other automated means are void. All entries become the property of Sponsor and will not be returned or acknowledged.

Winner Selection

1. Product Entry Winners

Product Entry winners are determined at the time of unboxing. If your Qualifying Product shipment contains a Prize Card, you are a potential winner of the prize tier indicated on your Prize Card, subject to verification and compliance with these Official Rules.

2. Alternate Method of Entry Winners

On or about [07/01/2026], Sponsor or its designated administrator will conduct a random drawing from all eligible Alternate Method of Entry entries received during the Promotion Period. The number of Alternate Method of Entry winners selected will correspond to the entry-to-prize ratio applicable to the Product Entry method, so that the odds of winning through the Alternate Method of Entry are equivalent to the odds of winning through the Product Entry method. Alternate Method of Entry winners will be assigned to prize tiers in the same proportions as the Product Entry prize tier distribution. Notwithstanding the foregoing, at least one (1) Alternate Method of Entry winner will be selected if any eligible Alternate Method of Entry entries are received.

Potential winners will be notified by email at the address provided at the time of entry. If a potential winner cannot be reached within seven (7) days of the first notification attempt, or if any notification is returned as undeliverable, the prize may be forfeited and, at Sponsor’s sole discretion, an alternate winner may be selected.

Prizes

1. Prize Tiers

The following prizes are available in this Promotion:

Tier 1: [Silver: Platinum Reward Status for a year + a Founder Edition Muv 35oz]. Approximate Retail Value (“ARV”): $[600]. Number available: [44].

Tier 2: [Gold: Platinum Reward Status for a year, $500 in-store credit + a Founder Edition Muv 35oz]. ARV: $[1,100]. Number available: [10].

Tier 3: [Black: Platinum Reward Status for a year, $1000 in-store credit, a Founder Edition Muv 35oz & the ability to design your own collection + get 10 free BrüMate’s in that design]. ARV: $[2,600]. Number available: [2].

Total ARV of all prizes (Product Entry and Alternate Method of Entry combined): $[42,600].

2. Prize Fulfillment

Product Entry winners will receive the prize indicated on their Prize Card. Sponsor may, in its sole discretion, substitute a cash payment or store credit equal to the ARV for any prize.

3. Prize Conditions

All prizes are awarded “as is” with no warranty or guarantee of any kind, express or implied. No substitution, transfer, or assignment of prizes is permitted, except by Sponsor in its sole discretion. All federal, state, and local taxes on prizes, including income taxes, and any costs or expenses not specifically stated herein, are the sole responsibility of the winner. Winners of prizes valued at $600 or more will be issued an IRS Form 1099-MISC. Any difference between the stated ARV and the actual value of a prize will not be awarded. Prizes are non-transferable.

Odds of Winning

The odds of winning a prize through the Product Entry method depend on the number of Prize Cards distributed relative to the total number of Qualifying Products available. [50] Prize Cards will be distributed among approximately [19562] Qualifying Product shipments.

The odds of winning a prize through the Alternate Method of Entry depend on the number of eligible entries received but are structured to be equivalent to the Product Entry odds, as described in Section 4(B).

General Conditions

By entering, each entrant agrees to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to disqualify any entrant who tampers with the entry process or the operation of the Promotion, who acts in violation of these Official Rules, or who acts in an unsportsmanlike or disruptive manner. Sponsor reserves the right, in its sole discretion, to cancel, modify, or suspend the Promotion in whole or in part if fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Promotion. If the Promotion is terminated before the scheduled end of the Promotion Period, Sponsor will determine winners from all eligible entries received as of the date of termination.

Proof of submitting an entry is not proof of receipt by Sponsor. Sponsor is not responsible for lost, late, misdirected, incomplete, illegible, damaged, undeliverable, or postage-due entries, or for any technical, hardware, software, telephone, network, electronic, or computer malfunctions, failures, or difficulties of any kind, including without limitation any error, omission, interruption, defect, or delay in operation or transmission.

Any attempt by any entrant to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law. Should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from such person to the fullest extent permitted by law.

Release and Limitation of Liability

By entering, each entrant releases and holds harmless the Promotion Entities and each of their respective officers, directors, employees, agents, and representatives (collectively, “Released Parties”) from and against any and all claims, actions, losses, damages, injuries, liabilities, and expenses of any kind (including attorneys’ fees) arising out of or relating to (a) participation in the Promotion or any Promotion-related activity, (b) acceptance, possession, use, or misuse of any prize, or (c) any breach of these Official Rules. The Released Parties are not responsible for printing, typographical, or other errors in any Promotion-related materials, or for stolen, forged, counterfeit, mutilated, or tampered Prize Cards.

IN NO EVENT WILL THE RELEASED PARTIES BE LIABLE TO ANY ENTRANT FOR DAMAGES IN EXCESS OF THE VALUE OF THE PRIZE AT ISSUE.

Publicity

Except where prohibited by law, acceptance of a prize constitutes permission for Sponsor to use the winner’s name, likeness, biographical information, statements, voice, and city and state of residence for advertising, publicity, and promotional purposes in any media, worldwide, without additional compensation, notice, or approval.

Privacy

Personal information collected in connection with this Promotion will be used by Sponsor for administration of the Promotion, prize fulfillment, and as otherwise described in Sponsor’s Privacy Policy, available at https://privacy.brumate.com/privacy-policy. By entering, each entrant consents to the collection, use, and disclosure of their personal information as described herein and in Sponsor’s Privacy Policy.

Arbitration

Any dispute whatsoever relating to the Promotion which is not resolved within thirty (30) days after receipt of written notice by either party from the other party shall be settled by binding and final arbitration before a single arbitrator. The demand for arbitration shall be made within a reasonable time after a claim, dispute, or other matter in question has arisen, and in no event shall it be made after two (2) years from when the aggrieved party knew or should have known of the claim or dispute. The arbitration shall be conducted pursuant to the Commercial Arbitration Rules of the American Arbitration Association (“AAA Rules”). Arbitration shall be by a single arbitrator experienced in the matters at issue, selected pursuant to the AAA Rules. The arbitration shall be held in Denver County, Colorado, or such other place upon which the parties and the arbitrator may agree, and shall be conducted pursuant to the AAA Rules to the extent not otherwise inconsistent with these Official Rules. The parties shall not be entitled to discovery other than the exchange of relevant documents and one deposition not to exceed eight (8) hours, except as otherwise allowed by the arbitrator or the AAA Rules. However, the parties shall also be entitled to depose any expert that will be presented to testify at the arbitration hearing. The decision of the arbitrator shall be final and binding as to any matters submitted to arbitration and shall be in lieu of any other action or proceeding of any nature whatsoever; and, if necessary, any judgment upon the arbitrator’s decision may be entered in any court of record having jurisdiction over the subject matter or over the party against whom the judgment is being enforced. The arbitrator shall issue a reasoned opinion to support his or her final award. The arbitrator shall have no power to award exemplary, special, or punitive damages, and shall further have no power to award incidental or consequential damages or damages for lost profits. The reasonable attorneys’ fees and costs of the prevailing party (as determined by the arbitrator) shall be reimbursed by the other party. For New Jersey residents, the limitations set forth above are inapplicable where attorneys’ fees, court costs, or other damages are mandated by statute. Except as required by law, the parties agree to keep confidential the existence and details of any dispute subject to this provision, including the results of arbitration.

Choice of Law

Except where prohibited, each entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, and in no event will entrant be permitted to obtain attorneys’ fees or other legal costs; (3) no punitive, incidental, special, consequential, or other damages, including without limitation lost profits, may be awarded (collectively, “Special Damages”); and (4) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. Colorado law, without reference to Colorado choice of law rules, governs the Promotion and all aspects related thereto.

Sponsor

This Promotion is not offered, endorsed, sponsored, or administered by, or associated with, Instagram, Facebook, TikTok, X (formerly Twitter), or any other social media platform. By participating in this Promotion, entrants release and hold harmless all such platforms from any and all liability arising out of or related to this Promotion.
